The following terms and conditions (“Agreement”) apply to all wholesale accounts and purchases made with Big B’s Cache Supplies™ (BBCS). By placing a wholesale order, the reseller (“Retailer”) agrees to comply with these terms in full.

1. Brand & Trademark Usage

1.1. All names, logos, branding, product designs, product descriptions, marketing materials, and other intellectual property of Big B’s Cache Supplies™ (BBCS) remain the sole property of BBCS.

1.2. Retailers may not reproduce, alter, or distribute BBCS logos, images, or other intellectual property without prior written consent from BBCS.

1.3. Retailers are not permitted to use BBCS’s name, logo, or trademarks in any manner that implies a partnership, endorsement, joint venture, or co-branding relationship with BBCS. Examples of prohibited usage include, but are not limited to:

• Displaying the BBCS logo at equal prominence to the Retailer’s own logo.
• Designing advertisements, digital media, or printed materials that suggest an official partnership with BBCS.
• Using BBCS branding in ways that may cause confusion as to the source of goods or affiliation.

1.4. BBCS branding may only be used in approved ways for the purpose of reselling BBCS products, such as:

• Listing BBCS products by their official names and product descriptions.
• Using product photos provided by BBCS (unaltered) for sales listings on approved platforms.

1.5. Tampering with BBCS products, packaging, displays, or advertising materials is strictly prohibited. Retailers may not repackage, relabel, or otherwise alter the presentation of BBCS products without written consent.

1.6. Unauthorized use of the BBCS brand may result in immediate termination of the wholesale account, forfeiture of wholesale privileges, and potential legal action or penalties.

2. Pricing & MSRP Compliance

2.1. All products must be resold at the Manufacturer’s Suggested Retail Price (MSRP) as listed on the BBCS website or provided at the time of purchase.
2.2. Retailers are not permitted to sell BBCS products above or below MSRP.
2.3. BBCS reserves the right to revoke wholesale privileges if MSRP is not strictly followed.

3. Approved Sales Channels

3.1. Retailers may only sell BBCS products through the following channels:

• A verified brick-and-mortar retail location.
• The retailer’s own official website.
• Approved in-person events (Retailer must obtain written approval from BBCS prior to selling at any event).

3.2. Prohibited Sales Channels: Retailers may not resell BBCS products on third-party marketplaces including, but not limited to: Amazon, Etsy, eBay, Walmart.com, or other similar platforms.
3.3. Unauthorized sales channels are grounds for immediate termination of wholesale privileges.

4. Order Minimums & Shipping

4.1. The initial wholesale order must meet a minimum purchase amount of $100 (exclusive of shipping).
4.2. Subsequent orders must meet a minimum purchase amount of $50 (exclusive of shipping).
4.3. Shipping costs are the sole responsibility of the Retailer and are not included in wholesale pricing.
4.4. All orders ship FOB (Freight On Board) from BBCS’s location. Risk of loss passes to the Retailer upon shipment.

5. Payment Terms

5.1. Payment is required in full before shipment unless other terms are agreed upon in writing.
5.2. BBCS reserves the right to suspend or terminate wholesale accounts with past due balances.

6. Product Packaging & Branding

6.1. Products may not be repackaged, rebranded, or altered in any way without written consent from BBCS.
6.2. Most BBCS products include MSRP labels; these must remain intact.

7. Returns & Damages

7.1. All wholesale sales are considered final. Returns are not accepted unless products arrive damaged or defective.
7.2. Any claims for damaged or defective products must be submitted within 7 days of receipt. Proof of damage (photos) may be required.
7.3. BBCS reserves the right to replace or credit defective merchandise at its discretion.

8. Termination of Agreement

8.1. BBCS may suspend or terminate a wholesale account at any time if the Retailer violates these terms.
8.2. Upon termination, the Retailer will no longer be permitted to purchase products at wholesale pricing.

9. Modification of Terms

9.1. Big B's Cache Supplies (brach of B. Lyons Industries LLC) reserves the right to update or amend these terms at any time. Retailers will be notified of changes prior to enforcement.

By purchasing products at wholesale pricing, the Retailer agrees to all terms outlined above.
